ORIAVA INC (hereinafter referred to as “We”, “Us” or “Our”) is the contracting entity and customer-facing seller of the Ryoko eSIM mobile data Services under these Terms. Whenever You purchase any Services on the Website, You enter into a contractual relationship with ORIAVA INC, and such relationship is governed by these Terms and applicable laws.

1.2. Ryoko eSIM mobile data Services are digital, data-only mobile connectivity services provided through an eSIM profile that can be downloaded and installed on a compatible device. The Services may include prepaid Data Plans, Subscriptions, Top-Up Services and related mobile connectivity features made available on the Website from time to time. Unless explicitly stated otherwise, the Services do not include a traditional mobile telephone number, voice calling services or SMS services.

1.3. The Services are provided digitally and do not include a physical SIM card, unless explicitly stated otherwise at the time of purchase.

1.4. In order to use the Website and make any purchase on the Website you must meet the following minimal requirements:

Certain Data Plans or destinations may not be available for purchase, activation or use in some countries or regions. Supported destinations, operators and network availability may change from time to time. Ryoko eSIM Mobile Data Plan Services

2.6. You may purchase Ryoko eSIM mobile data plan Services through the Website. An eSIM profile and related activation information (including QR codes, activation codes or installation details) may be delivered electronically, including via email or other supported delivery methods made available by Us from time to time. The Services are digital, data-only mobile connectivity services, unless explicitly stated otherwise at the time of purchase.

2.7. Unless expressly stated otherwise, the Services do not include voice calls, SMS, MMS or a mobile phone number. The Services are intended for mobile data access only.

2.8. To use the Services, You must have an unlocked, eSIM-compatible device and a stable internet connection for purchase, installation and activation purposes. You are responsible for ensuring that Your device is properly configured and compatible with the supported device requirements made available on the Website or support pages. We are not responsible if You are unable to use the Services because Your device is locked, incompatible, incorrectly configured or does not support eSIM functionality.

2.9. After purchase, You will receive the information necessary to download, install or access the eSIM and the selected Data Plan. Such information may include QR codes, activation codes, email communications or other supported delivery methods made available by Us from time to time. QR codes may be limited to single installation or activation use unless explicitly stated otherwise. A short technical delay may occur before the purchased Data Plan becomes available for use. Unless explicitly stated otherwise, the selected Subscription period and billing cycle begin from the time of purchase, although actual data usage may only commence once the eSIM has been activated and becomes available for use.

2.10. The selected Data Plan remains valid for the applicable period and usage conditions displayed at the time of purchase. The applicable Data Plan expires when the applicable validity period expires or, where applicable, when the purchased data allowance or included high-speed data allowance has been fully used, whichever occurs first. Any unused data or remaining high-speed data allowance will expire at the end of the applicable validity period and will not be refunded, transferred or rolled over unless required by applicable law or explicitly stated otherwise.

Subscription

2.11. If You purchase a recurring payment plan for mobile internet data Services ("Subscription"), You expressly consent to the automatic renewal of the Subscription and authorize recurring charges to the payment method selected by You at checkout until the Subscription is cancelled. Subscription fees will be charged at the billing frequency selected at the time of purchase. The applicable billing period, pricing, renewal terms and cancellation methods will be disclosed before checkout.

2.12. Unless cancelled before the renewal date and unless otherwise stated at checkout, Your Subscription will automatically renew at the same price and billing frequency selected at the time of purchase. The applicable Subscription fee will be charged to the payment method provided by You at checkout. You may cancel Your Subscription at any time using the cancellation methods made available by Us from time to time, including through the Website or customer support. Cancellation will stop future recurring charges, but You will continue to have access to the Subscription Services until the end of the then-current paid billing period.

2.13. If You reach or exceed the applicable data allowance or fair use threshold, the Services may be suspended, restricted, slowed down, or may require the purchase of additional data or renewal, depending on the selected plan and applicable fair use rules.

2.14. If We are unable to process the renewal payment, the Subscription may be suspended, restricted or cancelled upon the end of the current billing period unless payment is successfully completed.

2.15. If, due to Our fault, You were unable to use the Services or were incorrectly charged, We will assess the issue and may, where appropriate or required by applicable law, provide replacement Service access, extend the validity period, issue account credit, or refund the relevant amount to the original payment method.

2.16. Unused data or unused portions of the Subscription will not be exchanged for cash, refunded, transferred or rolled over, unless required by applicable law or expressly stated otherwise.

2.17. We may change Subscription pricing from time to time where reasonably necessary for legal, regulatory, commercial or operational reasons. If the price of Your active Subscription changes, We will notify You in advance before the new price becomes effective. If You do not agree to the new price, You may cancel Your Subscription before the change takes effect.

2.18. Subscription Services are subject to network availability, coverage, technical limitations and other factors described in these Terms.

Subscription Pause

2.19. Where available, You may temporarily pause Your Subscription for one of the available pause periods made available by Us (for example, 1, 2, 3 or 6 months). Once a pause period is activated, access to the relevant Subscription Services will be temporarily suspended and recurring billing will be paused for the duration of the selected pause period.

2.20. At the end of the selected pause period, the Subscription will automatically resume and recurring billing will continue. The billing cycle may be adjusted by extending the current Subscription period by the duration of the pause period.

2.21. Unless explicitly stated otherwise, the Subscription pause feature may only be used once per Subscription. Once activated, the selected pause period may not be modified, shortened or cancelled until it expires. However, You may still cancel the underlying Subscription during the pause period. In such case, future recurring Subscription charges will not resume after the pause period ends.

2.22. We do not guarantee that the Subscription pause feature will be available for all Subscription plans or at all times. We may restrict, modify or disable this feature, subject to applicable law and these Terms.

Ryoko Mobile Internet Data Plan Top Up Services

2.23. You may purchase additional data for Your eSIM mobile data plan through Our Top-Up Services, where available. A Top-Up is a one-time, non-subscription purchase that provides an additional fixed data allowance for the selected Data Plan.

2.24. Available Top-Up options, including applicable data allowance, price and validity period, will be displayed at the time of purchase.

2.25. The validity period of a Top-Up starts from the time of purchase, although a short technical delay may occur before the Top-Up becomes available for use. Unless explicitly stated otherwise at the time of purchase, each Top-Up remains valid independently for the period displayed at checkout or in the applicable plan details.

2.26. Any unused Top-Up data will expire at the end of the applicable validity period and will not be refunded, transferred or rolled over, unless required by applicable law or explicitly stated otherwise.

2.27. The purchase of a Top-Up does not extend, renew or otherwise modify the billing cycle, renewal date or recurring payment obligations of Your Subscription or original Data Plan, unless explicitly stated otherwise at the time of purchase.

Fair Use and Network Management

2.28. Mobile internet data plan Services are intended for reasonable personal, travel-related and fair use only. The Services may not be used for unlawful, abusive, automated, commercial resale or network-disruptive activities, including excessive usage, SIM farming, machine-to-machine usage, unauthorized redistribution, use as a paid proxy or use as a permanent replacement for fixed-location internet services.

2.29. We and Our network partners may apply reasonable network management or fair use measures where necessary to maintain network stability, protect service quality, prevent fraud or abuse, comply with legal or regulatory obligations or ensure fair access for other users. Such measures may include temporary speed reductions, usage restrictions or suspension of the Services.

2.30. Certain Data Plans may be subject to fair use limits, reduced-speed connectivity or other usage conditions after the included high-speed data allowance has been used. Certain Unlimited Data Plans may be subject to reduced-speed connectivity after a specified amount of high-speed data usage during the applicable billing period. Applicable limits, speeds and usage conditions will be disclosed at the time of purchase or in the applicable plan details.

2.31. Tethering, hotspot functionality or other data-sharing features may be restricted or unavailable for certain Data Plans or destinations where indicated at the time of purchase or in the applicable Service details.

2.32. We may monitor usage patterns to detect security risks, excessive usage, fraud, abuse or violations of these Terms and may suspend, restrict or terminate the Services where reasonably necessary to protect the integrity, security or lawful operation of the Services.

3. PRICING, PAYMENTS AND CHARGES

3.1. The final price for the Services, including applicable taxes and fees where required by applicable law, will be displayed on the checkout page before You complete Your purchase.

3.2. Prices for Services and Subscription Services will be displayed at checkout at the time of purchase and may vary depending on the selected Data Plan, billing period, destination, applicable taxes, currency, discounts or promotional offers. Unless explicitly stated otherwise at checkout, recurring Subscription payments will be charged at the same price and billing frequency selected at the time of purchase. We may update pricing, discounts or promotional offers from time to time. If the price of an active Subscription changes, We will notify You in advance before the new price becomes effective.

3.3. We reserve the right to modify, suspend or discontinue any Services, Data Plans, destinations, coverage areas or features, subject to applicable law and these Terms.

3.4. As the eSIM and related mobile internet data plan Services are provided digitally, no shipping costs, customs duties, import fees or physical delivery charges apply.

3.5. Where VAT, sales tax, goods and services tax or any similar tax is applicable, such tax will be calculated and charged in accordance with applicable law and will be included in, or added to, the price displayed at checkout, as required by applicable law.

3.6. Additional charges, currency conversion fees or other payment-related fees imposed by Your bank, card issuer or payment provider may apply and are outside Our control.

3.7. We accept payments by credit card, PayPal and other electronic payment methods made available at checkout. We do not accept cash, checks, cash on delivery or other offline payment methods, unless expressly stated otherwise at checkout.

6. REFUNDS FOR eSIM DATA PLANS

6.1. By purchasing and activating the Services, You expressly request immediate provision of the digital Services. Where permitted by applicable law, You acknowledge that statutory withdrawal or cancellation rights may be lost once the Services have been activated, provisioned or used.

6.2. Refunds for non-activated and unused Data Plans

You may request a refund for an eSIM Data Plan within 24 hours from the time of purchase if no data usage has occurred under the relevant Data Plan. Subject to applicable law, We may, at Our discretion, also consider refund requests submitted after this period where the Services have not been used at all.

6.3. Refunds for activated Data Plans

A Data Plan will generally be considered used once any data usage has occurred under the applicable Data Plan. Refunds for used Data Plans are generally not provided unless required by applicable law or expressly agreed by Us. In certain cases and subject to applicable law, We may, at Our discretion, consider partial refunds or account credits where only a minimal portion of the Services has been used.

6.4. No refund cases

Refunds will not be provided where the Data Plan has expired, where any data usage has occurred under the applicable Data Plan, or where the inability to use the Services was caused by an incompatible or locked device, incorrect device settings, user error, breach of fair use rules, unsupported destinations or circumstances outside Our reasonable control.

6.5. Subscription refunds

For Subscription plans, refund requests will be assessed based on the relevant billing period. Refunds for previous billing periods are not provided. If You have used any data during the current billing period, We will generally not provide a refund for that billing period, unless required by applicable law or expressly agreed by Us.

6.6. Refund process

Approved refunds will be made to the original payment method within a reasonable period and no later than required by applicable law.

7. WARRANTY

7.1. We will use reasonable efforts to provide the Services in material accordance with these Terms and the applicable Data Plan description during the relevant service period. This does not guarantee uninterrupted Services, specific speed, quality, coverage, latency, network availability, compatibility with every device, or Service availability in every location. This warranty does not cover issues caused by Your device, device incompatibility, locked devices, incorrect installation or configuration, lack of local network coverage, signal limitations, roaming partner restrictions, third-party network outages, regulatory restrictions, fair use restrictions, or other factors outside Our reasonable control.

8. PERSONAL DATA

(n) not access, monitor, copy, scrape, crawl or extract any content or information from the Website using any robot, spider, scraper or other automated means without Our prior written permission;
